Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Opbox platform at opbox.app (the "Platform"), operated by Opbox Ltd ("Opbox", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Definitions
- "Workspace" means an organisational account on the Platform, identified by a unique workspace ID
- "Administrator" means a user with ADMIN or OWNER role within a Workspace
- "User" means any individual who accesses the Platform, whether as a team member, administrator, or client
- "Client Portal" means the external-facing view of the Platform accessible by clients via token-based authentication
- "Content" means all data, documents, files, form submissions, and other materials uploaded to or created within the Platform
2. Account registration
2.1 Invite-only access
Access to the Platform is by invitation only. You must receive a valid invite token from an existing administrator or from Opbox directly. Invite tokens are single-use, email-scoped, and expire after 7 days.
2.2 Account responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@opbox.app if you suspect unauthorised access.
3. Subscription and billing
3.1 Plans
The Platform is available under various subscription plans. Pricing, features, and usage limits are described on our website or in a separate order form. We reserve the right to modify pricing with 30 days' notice.
3.2 Payment
Subscription fees are billed in advance on a monthly or annual basis via Stripe. All fees are non-refundable except as required by applicable law or as stated in a separate agreement.
3.3 Overdue payments
If payment is overdue by more than 14 days, we may restrict access to the Platform until the outstanding balance is settled. We will provide at least 7 days' notice before any restriction.
4. Acceptable use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
- Upload content that infringes on intellectual property rights, contains malware, or is harmful
- Attempt to gain unauthorised access to other workspaces, user accounts, or Platform infrastructure
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use automated tools (bots, scrapers) to access the Platform without our written consent
- Circumvent rate limits, access controls, or security measures
- Resell, sublicense, or redistribute access to the Platform without authorisation
5. Your content
5.1 Ownership
You retain all rights to Content you upload to or create within the Platform. Opbox does not claim ownership of your Content.
5.2 Licence
By uploading Content, you grant Opbox a limited, non-exclusive licence to process, store, and display your Content solely for the purpose of operating and providing the Platform, including AI-powered features you initiate.
5.3 AI processing
When you use AI features (assistant, document generation, search), your Content may be sent to third-party AI providers (currently Anthropic) for processing. These providers do not retain your Content beyond the request and do not use it for training.
6. E-signatures
The Platform provides electronic signature capabilities through Opbox Sign (built-in SES) and optional DocuSign integration for AES/QES workflows. E-signatures created through the Platform are intended to meet the requirements of applicable electronic signature laws, including the UK Electronic Communications Act 2000 and EU eIDAS Regulation.
Each signature event is recorded in a tamper-evident, hash-chained audit log. You acknowledge that the legal validity of an electronic signature depends on applicable jurisdiction and document type.
7. Intellectual property
The Platform, including its design, source code, documentation, and trademarks, is the property of Opbox Ltd and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited licence to use the Platform as described herein.
8. Data protection
We process personal data in accordance with our Privacy Policy. Where Opbox processes personal data on your behalf (as a data processor), we will enter into a Data Processing Agreement upon request.
9. Service availability
We aim to maintain high availability of the Platform but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control.
10. Limitation of liability
To the maximum extent permitted by law:
- The Platform is provided "as is" without warranties of any kind, whether express or implied
- Opbox shall not be liable for any indirect, incidental, special, or consequential damages
- Our total aggregate liability under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim
- Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence
11. Indemnification
You agree to indemnify and hold Opbox harmless from any claims, losses, or damages arising from your use of the Platform, your Content, or your violation of these Terms.
12. Termination
12.1 By you
You may close your account at any time by contacting us. Workspace administrators can remove users from their workspace. Upon termination, your access to the Platform will cease.
12.2 By us
We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.
12.3 Data after termination
Upon termination, we will retain your data for 30 days to allow export. After this period, data will be permanently deleted in accordance with our Privacy Policy.
13. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or in-app notification. Continued use of the Platform after changes take effect constitutes acceptance.
